1. Agreement to Terms

By accessing or using Talkpoint ("Service"), operated by Strakk Digital B.V. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Description of Service

Talkpoint is a sales assessment and client insight platform that enables users to create structured questionnaires ("Scans"), collect responses from prospects and clients, and generate AI-powered insights and talking points for sales conversations.

The Service includes features such as:

  • Creating and customizing assessment scans
  • Collecting responses via shareable links
  • AI-generated analysis and talking points
  • Draft assessment report generation
  • Team collaboration features

3. User Accounts

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or violates these Terms.

4. Purchases and Payment

The Service offers various paid plans ("Subscriptions") that provide access to scan credits. By purchasing a Subscription, you agree to:

  • Pay all fees associated with your chosen plan
  • Provide valid payment information
  • Authorize us to charge your payment method for the fees

Payments are processed through Paddle, our payment provider. By making a purchase, you also agree to Paddle's terms of service and privacy policy.

Scan Credits: Purchased scan credits remain valid for 12 months from the date of purchase. Unused credits expire after this period and are non-refundable.

5. Intellectual Property

Our Content: The Service and its original content, features, and functionality are owned by Strakk Digital B.V. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content: You retain ownership of any content you submit, post, or display through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of operating and providing the Service.

AI-Generated Content: Insights, talking points, and reports generated by our AI features are provided as suggestions only. You are responsible for reviewing and validating any AI-generated content before use.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Send spam, phishing, or other unsolicited communications
  • Upload malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to the Service or other systems
  • Collect or harvest user data without consent
  • Interfere with the proper functioning of the Service
  • Use the Service for any illegal or fraudulent purpose

7. Data Processing and Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you consent to such processing and warrant that all data provided by you is accurate.

For EU Users (GDPR): We process personal data in accordance with the General Data Protection Regulation (GDPR). You have rights including access, rectification, erasure, and data portability as detailed in our Privacy Policy.

For California Users (CCPA): California residents have additional rights under the California Consumer Privacy Act (CCPA) as detailed in our Privacy Policy.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

AI-generated content is provided for informational purposes only and should not be relied upon as professional advice. You are solely responsible for validating and using any AI-generated insights.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL Strakk Digital B.V., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Strakk Digital B.V. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us at support@talkpoint.app.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Dispute Resolution

For EU Users: These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of the Netherlands, without prejudice to your rights under EU consumer protection laws.

For US Users: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

For All Other Users: These Terms shall be governed by the laws of the Netherlands, and disputes shall be subject to the exclusive jurisdiction of the courts of the Netherlands.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
